- Removal by shareholders: Shareholders may have the power to remove a director from office by passing a resolution at a general meeting.
- Removal by the board: In some cases, the board of directors may have the power to remove one of its members. This power is typically granted by the company’s governing documents or applicable laws.
- Disqualification or bankruptcy: A director may be automatically disqualified or required to vacate their office if they become bankrupt, are convicted of certain offenses, or become subject to legal restrictions or disqualifications.
- Court order: In certain circumstances, a court may order the removal or vacation of office of a director. This can occur, for example, if the director has engaged in misconduct, breached fiduciary duties, or is found to be unfit to hold the position.
