16.1 PROCESS OF REGISTERING A COMPANY
Foreign companies, also known as overseas companies or non-resident companies, are entities that are incorporated or registered in a jurisdiction outside of the country where they conduct business or have operations.
A general overview of the process;
- Determine the company structure and name
Decide on the structure of the company, such as a limited liability company (LLC), corporation, partnership, or sole proprietorship. Choose a unique name for the company that complies with the naming regulations of the jurisdiction. Check for availability and ensure it is not infringing on any existing trademarks.
- Articles of incorporation/registration:
Prepare the necessary documents for company registration, such as the Articles of Incorporation or Registration. Include key information about the company, such as its name, registered office address, share capital, details of directors/shareholders, and the company’s purpose or business activities.
- Appoint Directors/Officers:
Identify and appoint directors and officers who will manage the company’s affairs.
Ensure they meet any legal requirements, such as age restrictions or residency requirements, if applicable in the jurisdiction.
- Registered office and registered agent:
Determine the registered office address of the company, which is the official address for receiving legal and official correspondence. In some jurisdictions, you may need to appoint a registered agent who will act as a representative for the company and receive official documents on its behalf.
- Share capital and shareholders:
Determine the share capital structure of the company, including the number and types of shares to be issued. Identify the initial shareholders of the company and their respective shareholdings.
- Filing and documentation:
Complete the required registration forms and submit them to the appropriate government authority or registrar. Include the necessary supporting documents, such as identification documents for directors and shareholders, consent forms, and any other required information.
- Paying fees and taxes:
Pay the registration fees and any applicable taxes or levies associated with the company registration process. Familiarize yourself with the ongoing compliance requirements and annual fees to maintain the company’s legal status.
- Obtain certificates and permits:
Once the registration documents are reviewed and approved, you will receive a Certificate of Incorporation or Registration, confirming the legal existence of your company. Apply for any additional permits or licenses required to conduct specific business activities, if applicable
