6.5 MEETINGS AND RESOLUTIONS IN RESPECT OF DEBT CAPITAL

When it comes to debt capital, companies may need to convene meetings and pass resolutions to address matters related to borrowing, repayment, and other debt-related issues.

Key points regarding meetings and resolutions in respect of debt capital:

  1. General meetings:

Companies may convene general meetings, such as annual general meetings (AGMs) or extraordinary general meetings (EGMs), to discuss and approve matters related to debt capital.

  1. Debt issuance resolutions:

Before a company can issue debt securities, such as debentures or bonds, it typically needs to pass a resolution at a general meeting to authorize the issuance.

The resolution may include details such as the maximum amount of debt to be issued, the terms and conditions of the securities, and any security or collateral provided.

  1. Approval of loan agreements:

In certain cases, depending on the company’s constitution or relevant laws, shareholders’ approval may be required for significant loan agreements.

  1. Amendments to debt agreements:

If the terms of existing debt agreements need to be modified, such as changes to interest rates, repayment terms, or covenants, the company may need to convene a meeting and pass a resolution to approve the amendments.

  1. Debt repayment resolutions:

When it is time for the company to repay the debt, a resolution may be required to authorize the repayment and to approve the necessary funds for repayment.

  1. Board resolutions:Apart from general meetings, the board of directors may pass resolutions related to debt capital without requiring shareholder approval.
    1. Notice and quorum:

Adequate notice must be given to shareholders or debenture holders regarding meetings where debt capital-related matters will be discussed. The meetings must have the necessary quorum, as defined in the company’s constitution or applicable laws, for the resolutions to be valid.
