6.7 Remedies for debenture holders
6.7 REMEDIES FOR DEBENTURE HOLDERS
Debenture holders are individuals or entities that hold debentures, which are debt instruments issued by a company. If a company fails to fulfill its obligations towards debenture holders, there are several remedies available to protect the rights and interests of the debenture holders.
Remedies for debenture holders:
- Legal action
Debenture holders have the right to take legal action against the company to enforce their rights and seek remedies for any breach of the debenture agreement. This may involve filing a lawsuit in court to recover the outstanding principal amount, interest, or any other payments due under the debenture.
- Appointment of receiver
In cases where the debenture is secured by specific assets of the company, debenture holders may have the right to appoint a receiver. A receiver is a professional appointed by the debenture holders to take control of the secured assets and manage them on their behalf. The receiver’s role is to protect the interests of the debenture holders and realize the value of the assets to recover the outstanding debt.
- Foreclosure or sale of security:
If the debenture is secured by specific assets, such as property or equipment, debenture holders may have the right to foreclose on the security or force a sale of the assets to recover their debt. The foreclosure process involves taking legal action to seize and transfer ownership of the secured assets to satisfy the outstanding debt.
- Enforcement of Guarantees:
If the debenture is guaranteed by a third party, such as a parent company or a personal guarantor, debenture holders can seek to enforce the guarantee. This involves taking legal action against the guarantor to recover the outstanding debt in case the company fails to fulfill its obligations.
- Insolvency Proceedings:
If the company becomes insolvent or goes into liquidation, debenture holders may participate in the insolvency proceedings to recover their debt. Depending on the jurisdiction and the type of debenture held, debenture holders may have a preferential claim over other unsecured creditors, providing them with a higher priority for repayment.
- Negotiation and Restructuring:
In some cases, debenture holders may choose to negotiate with the company to restructure the debt or modify the terms of the debenture.
